1. Introduction

If you purchase any of our Paid Services (“memberships, event tickets, sponsorship packages, or any other products we may have”), you agree to pay us the fees, taxes, and any additional terms specific to the Paid Services. Failure to pay these fees will result in termination of your paid Services. Additionally, you agree that:

Your purchase may be subject to currency exchange fees or price differences based on location (e.g. exchange rates).

 

We may store and continue billing your payment method (e.g., credit card) even after it has expired, to avoid interruptions to your Services and to use it to pay for other Services you may purchase.

If you purchase a subscription, your payment method will be automatically charged at the beginning of each subscription period for the fees and taxes applicable to that period. To avoid future charges, please cancel before your renewal date. 

 

All of your purchases of Services are subject to Black Bull Investors Club's refund policy.

We may calculate the taxes you must pay based on the billing information you provide to us at the time of purchase.

 

2.4 Notices and Messages

 

You agree to our sending you notices and messages through our platforms, websites, applications and contact information. If your contact information is not up to date, you may miss important notices.

The information and content that you share or post may be viewed by other Members, Visitors or other people (including outside the Services). 3. Rights and limits

 

3.1. Your license to Black Bull Investors Club

 

You own all content, comments and personal information that you provide to us.

We will respect the decisions you make about who can see your information and content, including how it may be used for advertising.

 

As between you and Black Bull Investors Club, you own the content and information that you submit or post to the Services, and you only grant us the following non-exclusive license:

If you are a Member providing services, you represent and warrant that you have all required licenses and will provide services in accordance with our Professional Community Policies.

 

3.4 Limits

 

We have the right to limit the way you connect and interact on our Services.

 

Black Bull Investors Club reserves the right to limit your use of the Services, including the number of connections and your ability to communicate with other Members. 5. Termination

 

Each of us may terminate this Agreement, but certain rights and obligations survive.

Either you or Black Bull Investors Club may terminate this Agreement at any time by giving notice to the other. Upon termination, you lose the right to access or use the Services. The following will survive termination:

  • Our rights to use and disclose your comments;

  • The rights of Members and/or Visitors to re-share content and information that you shared through the Services;

  • Sections 4, 6, 7 and 8.2 of this Agreement;

  • Any amounts owed by either party prior to termination will continue to be owed after termination.

 

6. Applicable law and dispute resolution

 

In the unlikely event that we end up in a legal dispute, you and Black Bull Investors Club agree to resolve it in the courts of Mexico using Mexican law.

7. General terms

If a court with authority over this Agreement finds any part of this Agreement to be unenforceable, you and we agree that the court must modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Agreement.

 

If we do not act to enforce a breach of this Agreement, it does not mean that Black Bull Investors Club has waived its right to enforce this Agreement. You may not assign or transfer this Agreement (or your membership or use of the Services) to anyone without our consent. However, you agree that Black Bull Investors Club may assign this Agreement to its affiliates or a purchasing party without your consent. There are no third party beneficiaries of this Agreement.

 

You agree that the only way to provide legal notice to us is at the addresses provided in Section 10.

8. Black Bull Investor Club "Dos and Don'ts"

  • Develop, support or use software, devices, scripts, robots or any other means or processes (including crawlers, browser plug-ins and add-ons or any other technology) to scrape the Services or copy profiles and other data from the Services;

  • Override any security features or circumvent or circumvent any access controls or usage limits of the Service (such as limits on keyword searches or profile views);

  • Copy, use, disclose or distribute any information obtained from the Services, whether directly or through third parties (such as search engines), without the consent of Black Bull Investors Club;

  • Violate the intellectual property rights of others, including copyrights, patents, trademarks, trade secrets or other proprietary rights.   • Post anything that contains software viruses, worms or any other harmful code;

  • Reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code of the Services or any related technology that is not open source;

  • Imply or represent that you are affiliated with or endorsed by Black Bull Investors Club without our express consent (for example, representing yourself as an accredited Black Bull Investors Club trainer);

  • Rent, lease, loan, trade, sell/resell or otherwise monetize the Services or related data or access thereto, without the consent of Black Bull Investors Club;

  • Deep link to our Services for any purpose other than promoting your profile or a Group on our Services, without the consent of Black Bull Investors Club;

  • Use bots or other automated methods to access the Services, add or download contacts, send or redirect messages;

  • Monitor the availability, performance or functionality of the Services for any competitive purpose;

  • Engage in “framing,” “mirroring,” or otherwise simulating the appearance or function of the Services;

  • Overlay or otherwise modify the Services or their appearance (for example, by inserting elements into the Services or by removing, covering or obscuring an advertisement included in the Services);

  • Interfere with the operation of the Services or place an unreasonable load on the Services (e.g., spam, denial of service attacks, viruses, gaming algorithms); I

  • Violate the Professional Community Policies or any additional terms related to a specific Service provided when you register or begin using that Service, and the Bing Maps terms, where applicable.

 

9. Chatham House Rules apply to every Black Bull Investors Club meeting, meeting, conference or gathering of members, whether offline, in-person or virtual. 10. When purchasing a Product or Services from Black Bull Investors Club

10.1 Responsibility

10.2 Rates and Admissions for Congresses and Events in General

Black Bull Investors Club Conference Registration and Admission:

 

Registration fees for the physical or online event are per person for the entire duration of the event. Registrations are not divisible into individual days or any other fraction of the entire event. Registration for an event cannot be shared between participants.

Group rate: Applies to groups of 3 or more participants. Participants must be from the same company.

Please note that reductions in registration fees are not cumulative. This cannot be used in conjunction with any other offer.

 

At the discretion of the Black Bull Investors Club, free invitations to participate in specific online events may be provided.

In any case, Black Bull Investors Club reserves the right to accept or reject any participation submission. All participants must go through a registration and approval process in order to participate in any physical or online event.

Club Memberships and Admission: Only nominated and pre-registered members may attend club events and Black Bull Investors Club conferences. The non-appearance of any of the named club members will not affect their obligations. No person other than those officially registered as members with us may attend any part of the club's physical or online events or conferences. Unless approved in writing in a work email by a Black Bull Investors Club representative.

Membership and event attendee fee must be paid in full prior to attending the conference; Otherwise, admission is unfortunately not possible.

 

Online events:

Online sessions may be recorded for educational purposes and for the exclusive use of the Black Bull Investors club and its members. In such a case, Black Bull Investors Club never publicly releases any recordings.

10.3 Travel/accommodation arrangements

 

You are responsible for your own flights, transfers and accommodation arrangements and the costs associated with them; However, please let us know if you need our help or advice.

 

Club members and event attendees are responsible for their own insurance (including but not limited to travel insurance, personal belongings and personal insurance), vaccinations and visas (where applicable).

 

Please note that a visa may be required to enter the country where the event is taking place. A formal letter of invitation from Black Bull Investors Club is available upon request to assist with the visa application.

 

10.4 Club membership conditions

 

Membership of Black Bull Investors Club begins on the date you first accept our Terms and Conditions and continues until membership hereunder has expired or been cancelled.

 

The term of each membership subscription is 12 months, unless otherwise specified on the order form. Memberships will only be renewed for an additional period equal to the expired subscription term with the prior consent of both parties. The price per unit during any renewal period may increase above the price applicable in the previous period. If any increase occurs, we will notify you of the updated price at least 30 days prior to the applicable renewal period. In which case, you can decide to continue or cancel your membership.

 

A party may terminate this Agreement for cause (i) upon 30 days' written notice to the other party of a material breach, if such breach remains uncured at the expiration of such period, or (ii) if the other party becomes the subject of a bankruptcy petition or any other procedure relating to insolvency, receivership, liquidation or assignment for the benefit of creditors.

10.5 Cancellation and refund policy for event registrations, sponsorships and memberships.

Cancellation of event registrations and transfer to colleagues must be made in writing. Transfer to colleagues is possible at any time. While the Covid situation continues to impact global economies, a 100% refund will be applied if cancellation notice is received at least within 10 calendar days prior to the event date. If a cancellation notice is received after or before the 10 calendar day period, we regret to inform you that refunds are not possible. However, the ticket can still be transferred or used to join any other Black Bull Investors Club event in the next 12 months, respecting the price difference, if any.

In the case of Gold or Black Membership, the client (member) has only 15 calendar days from the date of acquiring the membership to cancel without any penalty. In which case they will be refunded 100%, no questions asked. After this period of time no refund is applied.

Regarding the entry ticket to the event included with the Black Membership, said ticket must be used to attend any physical event of the client's choice, within the 12 months of validity of their membership. If the customer does not use the ticket, it will be lost and will not be valid for use in subsequent years or if their membership has already expired.

For event tickets and sponsorship packages: If the sponsor or event attendee wishes to cancel this agreement, written notification must be sent to Black Bull Investors Club and the following cancellation charges may apply. Cancellation fees:

  • If the client cancels more than 90 days before the event: 100% refund applies.

  • If the client cancels more than 60 days before the event but less than 90 days before the event: 30% will be retained as cancellation fees.

  • If the client cancels more than 30 days before the event but less than 60 days before the event: 50% will be retained as cancellation fees.

  • If the client cancels less than 30 days before the event: 100% of the charges will be applied. (There is no refund), however, you can transfer the ticket to a colleague or participate in a future event.

  • If Black Bull Investors Club cancels the event at any time, the Sponsor is entitled to a 100% refund, unless said event has been canceled due to (force majeure). ***Force Majeure: A force majeure event is an event or circumstance that is beyond the control and without fault or. negligence of the affected party and that due to the exercise of reasonable diligence it was.

General: You, your officers or your agents may not transfer or assign any rights or obligations under this Agreement (in whole or in part) without our prior consent. Any attempt to resell, assign or transfer rights without our consent will entitle us to cancel the contract without liability to you.

This agreement is governed by and will be construed in accordance with Mexican law and each party irrevocably agrees that the courts of Mexico will have non-exclusive jurisdiction to deal with any dispute arising out of or in connection with this agreement.

 

Refunds will be made within 60 days of the event date.

 

10.6 Sponsorship

Black Bull Investors Club reserves the right to determine the theme, scope and content of all club meeting and conference programs and to vary the programs and/or their contents as deemed necessary.

Sponsors/Members/Attendees: Only named and pre-registered members or participants may attend the conference. The non-appearance of any of the executives will not affect their obligation to pay for the executive's reserved place or places. No person other than those officially registered with us will be permitted to attend any part of the conference. All members/event attendees/sponsors must register attendee names at least 7 days before the start of the first day of the conference.

All Club members/sponsors/exhibitors must comply with the deadlines that Black Bull Investors Club will send to you (for submitting your company profile/data/presentations/logo for conference packages and any branding at conferences or meetings that may be part of this agreement).   

Executives are responsible for their own insurance (including but not limited to travel insurance, personal belongings and personal insurance), vaccinations and visas (where applicable).

Club members/sponsors are responsible for the production of any branding/marketing materials for events (unless otherwise agreed) and for the delivery/receipt/return of any materials to the event within agreed timescales.

You warrant and represent to us that the branding/marketing materials provided by you will not contain anything that is defamatory, obscene, false or misleading or that otherwise violates any intellectual property right or right of any person and the use of the materials of brand/marketing. provided by you will not violate any applicable law or regulation.

Travel/Accommodation Arrangements: You are responsible for your own flights, transfers and accommodation arrangements and the costs associated with them; However, please let Black Bull Investors Club know if you need help or advice.

 

10.7 Program changes

 

We reserve the right to determine the theme, scope and content of the conference program and club events and to vary the programs and/or their contents as deemed necessary.

 

10.8 Modifications to the conditions of sale

We reserve the right to make changes to our website, policies and terms and conditions, including these Conditions of Sale, at any time. You will be subject to the terms and conditions, policies and conditions of sale in force at the time you order products from us, unless required by law or government authority.
